Terms and Conditions

Important: Please read these Terms and Conditions carefully before using the EcoFeed Nexus platform. By accessing or using our services, you agree to be bound by these terms. If you do not agree, please do not use our platform.

1. Definitions

"Platform" refers to the EcoFeed Nexus website, mobile applications, and related services.

"User" refers to any individual or entity using the platform (suppliers, restaurants, NPOs, consumers).

"Supplier" refers to businesses selling surplus food through the platform.

"Buyer" refers to restaurants or consumers purchasing food through the platform.

"NPO" refers to registered non-profit organizations receiving food donations.

"Listing" refers to food items offered for sale or donation on the platform.

2. Account Registration

To use EcoFeed Nexus, you must create an account and provide accurate, complete information. You agree to:

  • Provide truthful and accurate registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account
  • Be at least 18 years old or have parental consent
  • Have legal capacity to enter into binding contracts

3. Food Safety and Compliance

All users must comply with South African food safety regulations:

  • R638: All suppliers must maintain proper cold chain and hygiene standards
  • R3337: All food must be properly labeled with accurate expiry dates
  • R146: Food handlers must be properly trained and certified
  • Suppliers must have valid Certificates of Acceptability
  • Temperature logs must be maintained and provided when required
  • Any food safety incidents must be reported immediately

Failure to comply with food safety regulations may result in immediate account termination and reporting to relevant authorities.

4. Supplier Obligations

  • List only food that is safe for consumption and within expiry dates
  • Provide accurate descriptions, quantities, and conditions of food items
  • Maintain proper storage conditions until pickup/delivery
  • Honor all committed sales and reservations
  • Provide necessary documentation (CoA, temperature logs)
  • Pay platform fees as specified (7% of transaction value)
  • Respond to buyer inquiries within 24 hours

5. Buyer Obligations

  • Pickup or accept delivery within the specified timeframe
  • Inspect food upon receipt and report issues immediately
  • Pay for orders promptly through approved payment methods
  • Provide accurate pickup/delivery information
  • Maintain proper cold chain after receipt
  • Comply with all food safety regulations in your operations

6. NPO Obligations

  • Be a registered non-profit organization with valid documentation
  • Provide proof of registration and tax exemption status
  • Use donated food solely for beneficiary feeding programs
  • Not resell or redistribute donated food for profit
  • Maintain proper food safety standards during distribution
  • Provide feedback and impact reports when requested
  • Complete verification process before accessing donations

7. Payment Terms

Platform Fee: EcoFeed Nexus charges a 7% platform fee on all paid transactions. This fee is split as follows:

  • 91% to Supplier
  • 7% Platform Fee (5% to EcoFeed Nexus, 2% to charity fund)

Payment processing is handled securely through our payment partners. Suppliers receive payouts within 3-5 business days of completed transactions.

8. Prohibited Activities

  • Selling expired or unsafe food
  • Providing false or misleading information
  • Attempting to circumvent platform fees
  • Harassment or abuse of other users
  • Fraudulent transactions or chargebacks
  • Unauthorized access to accounts or data
  • Reselling food marked for donation
  • Any illegal activities

9. Liability and Disclaimers

EcoFeed Nexus acts as a marketplace platform connecting buyers and sellers. We are not responsible for:

  • The quality or safety of food items listed (verification is the user's responsibility)
  • Transactions between users (though we provide the platform)
  • Delivery or pickup arrangements between parties
  • Losses due to account compromises from user negligence
  • Force majeure events (strikes, natural disasters, etc.)

Users agree to indemnify and hold EcoFeed Nexus harmless from any claims arising from their use of the platform.

10. Termination

EcoFeed Nexus reserves the right to suspend or terminate accounts that:

  • Violate these Terms and Conditions
  • Fail to comply with food safety regulations
  • Engage in fraudulent activities
  • Receive multiple complaints from other users
  • Are inactive for extended periods

Users may terminate their account at any time by contacting support. Outstanding obligations (payments, disputes) must be resolved before account closure.

11. Intellectual Property

All content, trademarks, logos, and intellectual property on the EcoFeed Nexus platform are owned by EcoFeed Nexus or its licensors. Users may not copy, modify, distribute, or create derivative works without explicit permission.

12. Governing Law

These Terms and Conditions are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the South African courts.

13. Changes to Terms

We may modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to the platform. Continued use after changes constitutes acceptance of the revised terms. We will notify users of significant changes via email.
